The business and affairs of the Corporation are overseen and managed by its Board of Trustees, which serves as the Foundation’s governing body. The Board is responsible for guiding the organization’s strategic direction, ensuring that its activities align with its charitable mission, and providing oversight of the Foundation’s programs, policies, and financial stewardship.

The Board of Trustees may also be referred to as the Board of Directors, and individual Trustees may be referred to as Directors. These titles are used interchangeably and refer to the same governing body and its members.

The Board consists of one Life Trustee and two or more Annual Trustees. Together, the Life Trustee and the Annual Trustees are collectively referred to as Trustees. Each Trustee serves as an active participant in the governance of the Foundation and is entrusted with the responsibility of acting in the best interests of the organization and its charitable purposes.

The Foundation maintains a small and focused Board, consisting of no fewer than three and no more than five Trustees, with no more than one Life Trustee serving at any time. This structure allows the Board to operate efficiently while maintaining thoughtful oversight and collaborative decision-making.

Each Trustee holds one vote on matters brought before the Board, and voting by proxy is not permitted. Decisions of the Board are made through the direct participation of Trustees to ensure accountability, engagement, and informed governance.

The number of Annual Trustees and the length of their terms may be adjusted from time to time by a majority vote of the Trustees, allowing the Board to adapt its structure as needed to best serve the Foundation’s mission and governance needs.

Through the collective leadership and stewardship of its Trustees, the Foundation seeks to maintain strong governance practices and uphold its commitment to responsible charitable service.
